1. About KaiZina

KaiZina ("we", "us") provides independent commercial and procurement decision support for small and medium businesses, delivered as a Commercial Clarity Session and related advisory services. Our work is AI-assisted and reviewed with commercial judgement. KaiZina does not provide legal advice. Our outputs are commercial guidance only and are not a substitute for advice from a qualified Australian legal practitioner.

2. Account & eligibility

You must be at least 18 years old and authorised to enter into agreements on behalf of any business you represent. You're responsible for keeping your account credentials secure and for all activity on your account.

3. Fees & payment

The Commercial Clarity Session is a one-time fixed fee of A$249 per decision, payable in advance. It is not a subscription and does not renew — you are only charged when you choose to purchase another Clarity Session. Larger engagements (such as an Independent Commercial Review) are quoted and agreed in writing before any work begins. All prices are in Australian dollars and include GST where applicable. Payments are processed securely by Stripe; we never store your card details.

Each Clarity Session covers one commercial decision, one primary agreement or document set together with its directly related schedules and attachments, one main counterparty, and one follow-up question. Additional decisions, additional agreements, or materially expanded scope are separate engagements.

We check scope before payment. If, once we review the documents, the matter is materially broader than the information you provided, we will pause and confirm scope with you before commencing. You will never be moved to a broader engagement, or charged more, without agreeing to it first. The Clarity Session does not include clause drafting or redlining, negotiating with your counterparty, ongoing project administration, legal opinions, or open-ended follow-on support.

Digital products, such as the Supplier Quote Decision Kit (A$49), are one-time purchases delivered instantly to your account for your own internal business use. They are templates and prompts you complete yourself: they structure a decision, they do not make it, they do not recommend a supplier, and they are not legal, financial or other professional advice. You may not resell, redistribute or publish the files. Because access is immediate, change-of-mind refunds are generally unavailable once files have been accessed or downloaded — see our Refund Policy. Nothing in these terms limits your rights under the Australian Consumer Law.

4. Acceptable use

Don't upload content you don't have the right to share, don't use the service to break the law, and don't try to reverse-engineer or resell the platform. We may suspend accounts that abuse the service.

5. Your content

You retain ownership of contracts and documents you upload. You grant KaiZina a limited licence to process them to deliver the service. We don't sell your content, and we don't use it to train third-party models.

6. Liability

To the maximum extent permitted by law, KaiZina's total liability for any claim is limited to the fees you've paid in the 12 months prior. Nothing in these terms excludes rights you have under the Australian Consumer Law.

7. Governing law

These terms are governed by the laws of New South Wales, Australia.
